These terms and conditions (the "Agreement") govern the relationship between Celebrity Elite Agency ("SBA," "we," "our," or "us") and the Celebrity ("you," "your," or "the Celebrity") when booking meet-and-greet sessions with fans ("the Fans").
2.1. Booking Procedure: The Celebrity agrees to work with SBA to arrange meet-and-greet sessions with Fans. The specific terms, including dates, times, locations, and fees, shall be agreed upon in writing for each booking.
2.2. Payment: SBA shall collect and distribute all payments. The Celebrity will receive an agreed-upon percentage of the total fees collected.
3.1. Marketing and Promotion: SBA agrees to promote meet-and-greet sessions effectively to maximize attendance.
3.2. Event Coordination: SBA shall coordinate logistics, including venue booking, security, and Fan management.
4.1. Attendance: The Celebrity agrees to attend as scheduled and arrive on time.
4.2. Conduct: The Celebrity agrees to maintain professionalism and treat Fans with respect.
5.1. Cancellation by the Celebrity: If the Celebrity cancels, they may face financial penalties as outlined in a separate agreement.
5.2. Cancellation by SBA: SBA reserves the right to cancel or reschedule due to unforeseen circumstances, providing alternative dates or refunds.
6.1. SBA shall not be liable for damages, losses, or injuries incurred by any party during sessions.
6.2. The Celebrity shall indemnify SBA from any claims, damages, or liabilities arising from their actions.
Both parties agree to keep all non-public information confidential.
Either party may terminate this Agreement with written notice in case of a material breach.
This Agreement is governed by the laws of the United States and the United Kingdom.
This Agreement supersedes all prior agreements and understandings, whether oral or written.
By booking a meet-and-greet, the Celebrity acknowledges and agrees to abide by these terms and conditions.
